The cloud is a subscription that allows you to use any of the current
available apps as long as the subscription is current. When the
subscription lapses so does the app.

Purchasing the upgrade is like going to the store and buying the boxed
software. You have licensed that version and its updates only.
Upgrades are a separate purchase, but you can use the software are
long as you want.
