| First H.264 is a video compression codec (MPEG-4 Part 10) whereas MP4 is a container just like Quicktime or AVI and usually associated with different MPEG-4 video compression formats. So an MP4 movie can hold an H.264 codec. You can have H.264 movie inside of a Quicktime container (.MOV file) as well.
For better compatibility with the internet and devices, today it is recommended to use the MP4 instead of the Quicktime container. I believe it is true with the iPad as well. If you have Adobe Media Encoder or Compressor, you will find preset for this device and many others.
