ah - spoke too soon.  finally googled up a link that tells me cs5 is kind
of the swiss army knife version that should be able to open that old crusty
ae6 project and then I can escalate it up from there.  you just have to
"import" the proj instead of "opening" it

i think I can find a computer in the shop with cs5, so should be good!
